These Terms of Service (“Terms”) govern your access to and use of the Appesco website, platform, products and services (“Services”).

These Terms form a legally binding agreement between you and:

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services.

If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.


1. Services

Appesco provides software and related services for business operations, including contract lifecycle management, workflows, finance, planning, people management, reporting and related functionality.

We may improve, modify, update or discontinue parts of the Services from time to time.


2. Eligibility

You must be at least 18 years old and legally capable of entering into agreements to use the Services.

The Services are intended for business and professional use.


3. User Accounts

To access certain Services, you may need to create an account.

You agree to:

  • provide accurate and complete information;
  • keep your login credentials confidential;
  • maintain the security of your account;
  • promptly notify us of unauthorized use at [email protected]

You are responsible for activities occurring under your account and for managing user access within your organization.

We may suspend or restrict accounts where necessary to protect security, prevent misuse, comply with legal obligations or enforce these Terms.


4. Acceptable Use

You agree not to:

  • use the Services unlawfully;
  • interfere with the operation or security of the Services;
  • attempt unauthorized access to systems or accounts;
  • upload malicious code, malware or harmful content;
  • use the Services to violate intellectual property rights;
  • use the Services to distribute spam or fraudulent content;
  • reverse engineer, copy or exploit the Services beyond permitted use;
  • use the Services in a manner that could damage, disable or impair the platform.

We reserve the right to suspend or terminate access for violations of these Terms.


5. Customer Data

You retain ownership of data, documents and content uploaded to the Services (“Customer Data”).

You grant Appesco a limited right to process Customer Data solely:

  • to provide and maintain the Services;
  • to improve operational performance;
  • to provide support and security;
  • to comply with legal obligations;
  • as otherwise instructed by you.

You are responsible for:

  • the legality of Customer Data;
  • obtaining necessary permissions and legal bases;
  • ensuring uploaded content does not violate laws or third-party rights.

Where Customer Data contains personal data, you are generally the data controller and Appesco acts as the data processor.

Processing of personal data is further governed by our Privacy Policy and Data Processing Agreement.


6. Privacy & Data Protection

Our Privacy Policy explains how we process personal data.

Where applicable under GDPR:

  • customers generally act as data controllers;
  • Appesco generally acts as a data processor for Customer Data processed through the platform.

Customers may request a Data Processing Agreement (DPA).


7. Subprocessors

Appesco may use trusted third-party providers and subprocessors for hosting, infrastructure, analytics, support, email delivery, security and related operational services.

We take reasonable steps to ensure subprocessors are subject to appropriate confidentiality and data protection obligations.


8. Security

We implement technical and organizational measures designed to protect Customer Data and platform security.

However, no service can guarantee absolute security or uninterrupted availability.

Customers are responsible for:

  • maintaining secure passwords;
  • controlling internal user access;
  • protecting their devices and systems;
  • reviewing exported or downloaded data.

9. Availability & Support

We aim to maintain reliable service availability but do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, technical issues, infrastructure failures or circumstances outside our reasonable control may affect availability.

Support may be provided according to the applicable subscription plan or separate agreement.


10. Fees & Billing

Certain Services require payment.

By subscribing to paid Services, you agree to:

  • pay applicable fees;
  • provide accurate billing information;
  • authorize recurring charges where applicable.

Unless otherwise stated:

  • fees are non-refundable;
  • subscriptions renew automatically;
  • taxes may apply.

We may suspend paid Services for overdue accounts.

11. Free Trials & Beta Features

We may offer free trials, preview features or beta functionality via beta.appesco.com

Such features may:

  • be incomplete;
  • change without notice;
  • contain errors;
  • be discontinued at any time.

Unless otherwise required by law, beta or preview features are provided “as is”.


12. Intellectual Property

Appesco and its licensors retain all rights, title and interest in the Services, including software, branding, designs, documentation and related intellectual property.

These Terms do not grant ownership of the Services.

You may not:

  • copy;
  • resell;
  • sublicense;
  • modify;
  • distribute;
  • commercially exploit;

the Services except as expressly permitted.


13. Feedback

If you provide suggestions, ideas or feedback regarding the Services, you grant Appesco the right to use such feedback without restriction or compensation.


14. Confidentiality

Both parties agree to protect confidential information disclosed in connection with the Services.

Confidential information includes non-public business, technical, operational and commercial information that should reasonably be understood as confidential.

This obligation does not apply to information that:

  • is publicly available;
  • was independently developed;
  • was lawfully obtained from another source;
  • must be disclosed by law.

15. Suspension & Termination

You may stop using the Services at any time.

We may suspend or terminate access:

  • for violations of these Terms;
  • for security concerns;
  • for illegal activity;
  • for unpaid fees;
  • where required by law.

Upon termination:

  • your access may be disabled;
  • Customer Data may be deleted after a reasonable retention period;
  • certain legal obligations may survive termination.

We recommend exporting important data before termination.


16. Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”.

Appesco does not guarantee that:

  • the Services will be uninterrupted;
  • the Services will be error-free;
  • defects will always be corrected;
  • the Services will meet every customer requirement.

Except where prohibited by law, we disclaim implied warranties including merchantability, fitness for a particular purpose and non-infringement.


17. Limitation of Liability

To the maximum extent permitted by law, Appesco shall not be liable for:

  • indirect damages;
  • consequential damages;
  • lost profits;
  • lost revenue;
  • business interruption;
  • loss of data;
  • reputational damage.

Our total aggregate liability arising out of or relating to the Services shall not exceed the amount paid by the customer to Appesco during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.


18. Indemnification

You agree to indemnify and hold harmless Appesco from claims, damages, liabilities and expenses arising from:

  • your misuse of the Services;
  • violation of these Terms;
  • unlawful Customer Data;
  • infringement of third-party rights.

19. Third-Party Services

The Services may integrate with or link to third-party services.

Appesco is not responsible for third-party services, websites, content or policies.

Your use of third-party services is governed by their own terms and privacy policies.


20. Changes to the Services or Terms

We may update the Services or these Terms from time to time.

When material changes are made, we may notify users through the platform, website or email.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.


21. Governing Law

These Terms are governed by the laws of The Netherlands.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts in The Netherlands, unless otherwise required by applicable law.
